Standard Terms and Conditions of Business

These conditions explain your rights, obligations and responsibilities, as well as ours.  The terms “you” or “yours” refer to the customer, and “we”, “us”, “our”, and “ours” refer to The Boxed Training Company Ltd.

Trading Names: Boxedtraining, Boxedtraining Consultancy, are divisions of The Boxed Training Company Ltd.

Services:  We provide a training design and development service in the form of bespoke Video production.

Prices:  While every effort is made to ensure that prices advertised on our web-site and in our brochure are correct, we reserve the right to amend prices that are incorrectly advertised in error, and will confirm this at the time of ordering.  Prices for DVD production are on quotation.  All quotations will be confirmed in writing, and are valid for 30 days from the date they are issued. All prices are subject to VAT at the standard rate.

Promotions:  Promotional prices and deals are available as advertised and up to the date specified.  We do, however, reserve the right to withdraw or amend a promotion should this become necessary.

Carriage (Post and Packaging):  We supply all carriage, post and packaging free of charge in mainland U.K.  Delivery outside of the mainland U.K. will be charged at cost.

Claims:  You must make a claim for damage or short deliveries within three working days of receipt of goods.

Property and Risk:  Risk shall pass to you on receipt of goods.  Property in the goods shall remain with us until your invoice is paid in full.

Payment Terms:  Payment must either be made in advance or, where we agree to open an account for you, strictly within 30 days from the date we invoice you. We will issue an invoice for the bespoke video production on completion of the product prior to its review and acceptance. You have no right of set-off and all invoices must be paid in full.

Errors and Omissions:  We accept no responsibility for errors or omissions in this document, on our web-site, or in our brochure.  Our bespoke video productions are produced in good faith by people with reputable backgrounds, but we accept no responsibility for any errors or omissions that they might contain.  We also accept no responsibility for any errors or omissions on the part of the person who purchases and delivers our training.  We also accept no responsibility for any accidents or damage that may occur to anyone who has received any training that we have either written or delivered, nor to any property or any person in any way associated with any training that we have either written, produced or delivered.  We also accept no responsibility for the performance of any person who has received training from us or from one of our training packages.

Software:  We accept no responsibility for any damage caused to any of your computing equipment or computing networks, or for any other losses you might incur as a result of damage to your computing equipment or computing networks resulting from any software, computer disks, or electronic communications that we have provided or issued.  This includes, but is not limited to, damage resulting from any viruses that may be present on any software, computer disks, or electronic communications emanating from us. 

Externally Sourced Items:  We accept no responsibility for the quality of, or any damage that might result from any externally sourced items that we have included in one of our training packages.  We will, however, do our best to take up any such issues with the relevant external source and to ask them to exchange items where this is appropriate and possible.  We will not pursue any claims for compensation from the external source that you might consider.

Cancellation Charges:  All cancellations must be confirmed in writing. Cancellation for bespoke video producton will only be accepted prior to dispatch of the product to you, and we will charge you a booking deposit of 60% of the total quoted price, plus the costs for any work we have carried out prior to your notice of cancellation, as well as for any purchases and other costs that we have incurred prior to your notice of cancellation.

Special Bespoke Training Package Design / DVD Production Terms:  We will consult you and will do our best to determine your training needs when you order a bespoke video production from us.  However, we will ask you to review and agree the script prior to filming and review and agree the film within seven working days of receipt of the completed film.  Should you be unhappy with the film or require some changes, we will endeavour to work with you to make minor changes and additions free of charge.  Should you require major changes, we will provide a quotation for the additional work required. 

Intellectual Property and Copyright:  We hold the copyright, design rights and any other intellectual property rights to all of our trainings, training packages, DVDs, bespoke video productions and presentations.  When you purchase one of our trainings, training packages, DVDs, bespoke video productions or presentations, the material they contain is for your use only and you cannot pass them on to any third party.  Where we agree to allow you to put your name, company name, and corporate or organisational identity on any or all of the contents of our training packages, DVDs, bespoke video productions or presentations, copyright, design rights and intellectual properties in any and all of our trainings, training packages, DVDs, bespoke video productions and presentations still belongs to us, unless copyright has been signed over to you.
